Bindex Terms of Service
Operated by Viable Pte. Ltd. (UEN 202143569C), Singapore ("Viable", "we", "us"). Effective [pending]. Draft v1.0 for counsel review.
These Terms govern use of bindex.dev and related services, APIs, feeds and applications (the "Platform"). By using the Platform, creating an account, claiming a listing, or purchasing a plan, you agree to these Terms. If you act for an organization, you confirm you are authorized to bind it.
1. What Bindex is
Bindex is a reference platform: an index of insurance technology capabilities, companies, news, events, research and related content. Information on the Platform is compiled from public sources or provided by listed companies and other submitters, with provenance labels. Publication is not verification, endorsement, certification, ranking or advice. Nothing on the Platform constitutes professional, financial, legal or insurance advice, and no listing implies suitability of any vendor or product.
2. Accounts
Accounts are for business use. Access is by verified email (passwordless links). You are responsible for activity under your account and for keeping your team roster current. We may suspend accounts that breach these Terms, with an explanation.
3. Listings and claiming
Anyone meeting the Listing Policy may appear in the index; listing is free. Companies may claim their listing via domain-verified email and thereafter control their record, subject to moderation. We may create, correct or label unclaimed listings from public sources. The Listing Policy and How Bindex Works pages form part of these Terms.
4. Plans and paid services
4.1 Paid plans (currently Newsroom, Publisher and Enterprise) are annual subscriptions billed in USD in advance, auto-renewing unless cancelled; we send a renewal notice at least 14 days before each renewal. Plan contents and prices are as published at bindex.dev/pricing at the time of purchase; your renewal locks the rate then in effect for that term. 4.2 One-time paid services (job postings, featured placements, sponsorships, advertising) are governed additionally by the Advertising & Sponsorship Terms where applicable. 4.3 What payment never buys: inclusion, ranking, search order, verification, badges of quality, reviews, or access to buyer inquiries. Paid placements are always labeled. This clause is operative, not decorative. 4.4 Taxes: prices exclude any applicable taxes. Viable is not currently registered for Singapore GST. Business customers are responsible for any reverse-charge or withholding obligations in their own jurisdiction; where withholding applies, we will reasonably cooperate with treaty-relief documentation. 4.5 Cancellation and refunds are governed by the Refund & Cancellation Policy, incorporated into these Terms.
5. Submitted content
5.1 "Submitted Content" means anything you submit: listing data, announcements, articles, media items, logos and brand assets, event details, job postings, comments and corrections. 5.2 Licence. You grant Viable a non-exclusive, worldwide, royalty-free licence, sublicensable solely to service providers acting on our behalf, to host, store, reproduce, display, distribute, excerpt, translate, format and summarize Submitted Content across the Platform and its distribution channels, including the website, feeds, email digests, RSS, the public API and MCP server, social channels and Platform research publications. You retain ownership. 5.3 Deletion. You may delete Submitted Content at any time, ending forward distribution; copies already distributed through non-recallable channels (sent emails, feed caches, published research) may persist. 5.4 Trademark. You grant us nominative-use rights to display your name and marks to identify your listings and content; we will follow reasonable brand guidelines you provide. 5.5 Warranties. You represent that: you hold all rights needed to grant the licence above, including for images and third-party material; Submitted Content is accurate in all material respects and not misleading; factual claims in structured fields are verifiable; it infringes no third-party rights and discloses no information you are not authorized to disclose; and, for content containing images of people, you hold the necessary permissions. 5.6 Labels. We label content by source and payment status (for example "from the company", "partner content", "sponsor"). You must not attempt to obtain or evade a label.
6. Moderation
We may decline, label, edit formatting of, or remove any content that breaches these Terms or the Listing Policy, and will give a human-readable reason for declines. We are not obliged to publish or retain any content. Job postings are reviewed before publication; declined postings are refunded per the Refund & Cancellation Policy.
7. Acceptable use
You must not: misrepresent your identity or authority; submit false or misleading information; scrape at volumes exceeding published API limits or circumvent technical controls; attempt to manipulate rankings, labels or statistics; upload malicious code; use the Platform to spam; or resell Platform data except as permitted by the Citation & Content Licence page or a written data licence.
8. Platform content and licence to you
Platform structure, taxonomy, editorial content, statistics and design are owned by Viable or its licensors. You may cite Platform content with attribution per the Citation & Content Licence page. API and MCP access is provided for lawful use within published rate limits and may be modified with reasonable notice.
9. Third-party links and content
Outbound links, source articles, event sites and vendor documentation are third-party content we do not control and do not endorse.
10. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including accuracy, completeness, currency, merchantability, fitness for a particular purpose and non-infringement. Provenance and freshness labels describe our records, not guarantees about the underlying facts.
11. Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, data or goodwill; and Viable's aggregate liability arising out of the Platform is capped at the fees you paid to Viable in the twelve months preceding the claim, or S$100 if you have paid none. Nothing limits liability that cannot be limited under applicable law, including fraud.
12. Indemnity
You will indemnify Viable against third-party claims arising from your breach of Section 5.5 warranties or Section 7, including reasonable legal costs.
13. Changes
We may update these Terms; material changes will be notified by email or Platform notice at least 14 days before taking effect. Continued use after the effective date is acceptance. Price changes never apply mid-term to an active subscription.
14. Termination
You may close your account at any time. We may terminate for material breach with notice, or immediately for serious abuse. Sections 5.2 (for distributed copies), 5.5, 8, 10, 11, 12 and 15 survive.
15. Governing law and disputes
These Terms are governed by the laws of Singapore. Disputes are subject to the exclusive jurisdiction of the courts of Singapore. {{Counsel to confirm or substitute SIAC arbitration.}}
